From the web: The Van Halen clause

22 February 2019

A Linkedin post on contracts clauses received over 75,000 likes:

“I have seen plenty of contracts / and have drafted many / but never have I ever seen / this clause in any!

The Contractor is requested to provide suitable refreshment for those working on behalf of the Employer as follows:

Morning meetings – the Contractor is to provide bacon sandwiches together with tea and coffee. The bacon sandwiches are to be on white bread with butter (not margarine or spread). The Contractor is also to provide Heinz Tomato Ketchup and HP sauce to complement the sandwiches as required by the parties in the meeting. No equal or approved will be acceptable.”

Solicitor Amanda Olic’s post also received over 7,000 comments, including from some who had seen similar clauses:

“Is it a brown M&Ms Van Halen clause? If the M&M bowl in their changing room excluded brown M&Ms as requested in the contract, there was a reasonable assumption that all contract requirements were read and were satisfied.” SB

“Spec for transportation: Porsche or approved equivalent… I just had to see who was reading.” ML

“An architects firm … had a very detailed requirement for glazed donuts and OJ for meetings.” DC

“I’ve seen afternoon tea with Battenberg cake not less than 22mm thick.” AW

“Two renters received their lease agreement on a Word doc instead of a PDF. They decided to amend it with a special clause: ‘Lessor shall provide birthday cake for Lessee(s) in the weekend closest to their birthdays, which are June 7 and February 17. Vanilla cake is not acceptable.’ The landlords didn’t notice the change before signing.” SR
